These Terms of Service (“Terms”) are a binding contract between you (“Customer”) and Rohic Inc. (“Rohic,” “we,” or “us”). These Terms govern your access to and use of Rohic’s website located at https://www.rohic.com (the “Site”) and services related to AI-powered content generation (collectively, the “Services”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
By using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. If you are accessing and using the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
Please review our Privacy Notice, which also governs your use of the Services, for information on how we collect, use, and share your information.
We may update these Terms from time to time. If we do, we’ll let you know by posting the updated Terms on the Site and/or other communications. If you continue to use the Services after we have posted updated Terms, you agree to the changes.
You may use the Services only if you are 18 years or older and capable of forming a binding contract with Rohic, and not otherwise barred from using the Services under applicable law.
We appreciate feedback, comments, ideas, proposals, and suggestions for improvements to the Services (“Feedback”). By submitting Feedback, you agree that we are free to use it without any restriction or compensation to you.
(a) General
When you purchase a subscription for the Services (“Subscription”), you authorize us (or our third-party payment processor) to charge you for the Subscription. You represent and warrant that you have the legal right to use all payment methods provided.
(b) Subscriptions
Subscriptions are charged annually. You authorize us to charge your payment method each year on the anniversary of your Subscription commencement, unless you cancel your Subscription.
(c) Cancelling Your Subscription
You may cancel your Subscription for a full refund within five (5) calendar days of your initial purchase. After that, purchases are final and non-refundable.
(d) Free Trials
If offered, free trials are subject to specific terms provided at signup. If you do not cancel your Subscription before the end of the Free Trial, charges will begin on a recurring annual basis.
(a) Posting Content
The Services may allow you to store or share content such as text, files, documents, graphics, images, music, software, audio, and video (“User Content”). Rohic does not claim any ownership rights in User Content.
(b) Permissions to Your User Content
By making User Content available through the Services, you grant Rohic a non-exclusive, transferable, perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use your User Content in connection with providing the Services.
(c) Your Responsibility for User Content
You are solely responsible for all User Content. You represent and warrant that you have all necessary rights to grant us the license to use your User Content.
You agree to use the Services lawfully and comply with all applicable laws and these Terms. You must not misuse the Services, and Rohic reserves the right to enforce these Terms.
Rohic respects copyright law and expects its users to do the same. Rohic’s policy is to terminate in appropriate circumstances account holders who repeatedly infringe or are believed to repeatedly infringe the rights of copyright holders.
The Services may allow access to third-party websites or resources. Rohic provides access only as a convenience and is not responsible for third-party content, products, or services.
We may suspend or terminate your access to and use of the Services at our sole discretion, at any time and without notice.
The Services are provided “as is,” without warranty of any kind. Rohic explicitly disclaims any implied warranties of merchantability, fitness for a particular purpose, quiet enjoyment, and non-infringement.
You will indemnify and hold Rohic harmless from any claims, disputes, demands, liabilities, damages, losses, and costs arising from your use of the Services, your User Content, or your violation of these Terms.
To the maximum extent permitted by law, neither Rohic nor its licensors will be liable for any incidental, special, exemplary, or consequential damages, including lost profits, lost data, or business interruption.
These Terms and any action related thereto will be governed by the laws of the State of Delaware without regard to its conflict of laws provisions. Rohic Inc. is incorporated in Delaware, and these Terms reflect that incorporation. However, as Rohic Inc. operates a physical business location in Arlington, Virginia, you acknowledge that certain consumer protection laws and regulations of the State of Virginia may also apply to your use of the Services.
The exclusive jurisdiction for all disputes not required to be arbitrated will be the state and federal courts located in Delaware. However, should any legal actions be required to be filed in Virginia due to its consumer protection laws, such actions will be filed in the appropriate courts located in Arlington, Virginia.
(a) Mandatory Arbitration of Disputes
Any dispute arising out of or relating to these Terms or the Services will be resolved solely by binding, individual arbitration and not in court.
(b) Exceptions
We both may seek to resolve a dispute in small claims court if it qualifies and may seek injunctive relief from a court to prevent the infringement of our intellectual property rights.
(c) Conducting Arbitration and Arbitration Rules
The arbitration will be conducted by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules.
(d) Arbitration Costs
Payment of filing, administration, and arbitrator fees will be governed by the AAA Rules.
(e) Injunctive and Declaratory Relief
The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief.
(f) Class Action Waiver
You and Rohic agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
Rohic Inc. operates a physical business location in Arlington, Virginia. By using our Services, you acknowledge that certain consumer protection laws and regulations of the State of Virginia may apply. We comply with all local regulations and laws applicable to our operations in Virginia.
